Stock Broker vs Trading Platform

One of these has a CRD number and holds your money. The other is an interface. They are frequently marketed as the same thing.

The broker

A broker-dealer is a legal entity registered with the SEC, a member of FINRA, and — in the cases we cover — a member of SIPC. It has a legal name, a CRD number and an SEC file number. It holds your assets, executes your orders and is answerable to regulators for how it does both. This is the thing whose failure would matter to you.

The platform

A platform is software for placing orders and viewing positions. Some brokers build their own. Some license third-party software. Some third-party platforms connect to several different brokers, so the same interface can sit in front of entirely different regulated entities.

Where this becomes a real problem

  • Introducing and clearing brokers. Many app-first firms use one entity to introduce accounts and another to clear and carry them. Both are registered, but they are different entities with different records — worth knowing which is which.
  • International entities. A global brand often operates a separate legal entity per jurisdiction. The US entity's SIPC membership does not extend to accounts held by a sibling entity elsewhere, which may be covered by a different scheme, with a different limit, or none.
  • Corporate change. Entities are merged and absorbed. In our own database, one firm's original broker-dealer registration is listed as inactive on BrokerCheck because the business moved into a parent — clients now hold accounts at a different entity from the one they opened with.
  • Non-brokerage apps. Some investing-adjacent apps are not broker-dealers at all. If no SEC-registered broker-dealer is named anywhere in the terms, the securities-investor protections described here do not apply.

What follows from the distinction

Judge safety on the broker. Judge usability on the platform. Never let a good platform reassure you about an entity you have not checked, and never dismiss a well-regulated broker because its software looks dated — the interface can be replaced, the custody arrangement is the part that has to be right.
